By accessing or using the Services, you agree to these Terms. If you do not agree, you should not use the Services.

1. What Elween is

Elween is developing technology designed to help people better understand their financial behavior, estimate how much they may be able to contribute toward long-term financial goals and explore potential retirement and wealth-building outcomes.

The Services may analyze information you provide and generate calculations, simulations, projections, estimates or other automated outputs.

Unless expressly stated otherwise in separate product-specific terms, the Services currently available through this website are informational and technological services only.

2. What Elween is not

Unless expressly stated otherwise in separate product-specific documentation, Elween does not through this website act as a:

• bank or deposit-taking institution;

• payment institution or money transmitter;

• investment adviser;

• broker or investment firm;

• portfolio manager;

• pension provider;

• insurance company;

• tax adviser;

• legal adviser; or

• fiduciary.

Nothing made available through the website constitutes personalized financial, investment, legal, accounting or tax advice.

Nothing on the website constitutes an offer, solicitation, recommendation or instruction to buy, sell or hold any security, financial instrument, crypto-asset or other investment.

Certain future Elween products may involve financial services supplied by appropriately authorized third-party financial institutions or service providers. Those products will be subject to separate terms, disclosures, eligibility requirements and regulatory documentation.

If product-specific terms conflict with these Terms, the product-specific terms will govern your use of that product.

3. Financial projections and calculator

Elween may provide estimates or projections relating to matters such as:

• retirement age;

• future wealth;

• savings capacity;

• contribution capacity;

• investment growth;

• financial independence;

• projected portfolio value;

• retirement income; or

• other financial outcomes.

These outputs are estimates, not promises or guarantees.

They may be based on information you provide together with assumptions concerning matters such as income, spending, savings, investment performance, inflation, taxes, fees, market conditions, life expectancy, future contributions and financial behavior.

Actual outcomes may differ materially from any projection.

Expressions used by Elween such as “max-safe contribution,” “retirement age,” “projected wealth,” “financial freedom,” “retire faster,” or similar terminology describe estimates generated using assumptions and models.

They do not guarantee that:

• a particular contribution will always be affordable;

• an investment will achieve a particular return;

• your financial circumstances will remain unchanged;

• you will accumulate a particular amount of wealth; or

• you will retire at a particular age.

Financial markets may rise or fall. Personal circumstances may change. Inflation, taxes, regulation, income, expenses and investment performance may differ from assumptions used by Elween.

• any particular retirement income;

• any level of savings;

Where financial products are eventually made available through or in connection with Elween, those products may involve investment risk.

Some existing or future Elween products may only be available in certain countries, jurisdictions or to users who satisfy additional eligibility requirements.

Your ability to access the website, join the waitlist or use a calculator does not guarantee eligibility for any current or future Elween product.

7. Waitlist

You may be able to provide your email address to join the Elween waitlist.

Joining the waitlist does not guarantee:

• access to Elween;

• access to a beta;

• access by any particular date;

• access to future products;

• eligibility for financial services;

• any particular pricing;

• any particular feature or benefit; or

• any specific position or priority in a launch queue.

When you voluntarily submit your email address and consent to join the waitlist, Elween may use that address to communicate with you about Elween, including product development, launch information, beta access and related updates, in accordance with our Privacy Policy and applicable law.

Where required, you may withdraw marketing consent or unsubscribe from marketing communications at any time.

8. Beta services

Some Elween Services may be designated as beta, preview, early-access, test or experimental functionality.

Beta Services may:

• contain errors or bugs;

• operate inconsistently;

• be incomplete;

• be unavailable from time to time;

• produce inaccurate outputs;

• change significantly; or

• be discontinued.

Beta features should not be treated as finished financial products.

Elween may modify, add, restrict, replace or remove beta functionality as the product develops, subject to applicable law.

9. Information you provide

You agree that information you intentionally submit to Elween will, to the best of your knowledge, be accurate and not deliberately misleading.

The usefulness and accuracy of Elween calculations may depend directly on the information you provide.

For example, inaccurate or incomplete information concerning your age, income, spending, savings or financial position may result in inaccurate estimates.

You are responsible for reviewing the information you submit and correcting it where appropriate.

Our collection, use, storage and protection of personal information is described in our Privacy Policy.

The Privacy Policy also explains the rights that may be available to you under applicable data-protection law.

The Elween name, trademarks, branding, website, software, interfaces, algorithms, models, designs, graphics, text, content and other materials made available through the Services are owned by Elween or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, Elween grants you a limited, personal, non-exclusive, non-transferable and revocable right to use the Services for their intended purpose.

These Terms do not transfer ownership of any Elween intellectual property to you.

You may not reproduce, distribute, sell, license or commercially exploit protected Elween materials unless authorized by Elween or permitted by applicable law.

13. Feedback

If you voluntarily provide Elween with ideas, suggestions, comments or other feedback concerning our products or Services, you authorize Elween to use that feedback for purposes including developing, improving and commercializing Elween products and Services.

You will not be entitled to compensation solely because Elween uses feedback that you voluntarily provided.

This section does not transfer ownership of your personal data and does not affect rights that cannot lawfully be waived.

14. Third-party services

Elween may contain links to, rely upon or integrate services provided by third parties.

These may eventually include financial institutions, payment providers, investment providers, blockchain infrastructure providers, identity-verification providers, data providers, communications platforms and other technology providers.

Third-party products and services may be subject to their own terms, privacy policies and regulatory disclosures.

Elween does not control independent third parties and is not responsible for their independent acts or omissions except where applicable law provides otherwise.

The presence of a link, integration or reference to a third party does not necessarily mean Elween endorses everything offered, stated or provided by that third party.

15. Availability of the Services

We aim to provide reliable Services but cannot guarantee that the website or every feature will always be available, uninterrupted, secure or error-free.

The Services may temporarily be unavailable because of:

• maintenance;

• updates;

• technical failures;

• cybersecurity events;

• internet or infrastructure failures;

• failures involving third-party providers; or

Nothing in these Terms limits any mandatory consumer rights available to you under applicable law.

• decisions made solely in reliance on illustrative projections or estimates;

• changes in financial markets;

• changes in taxation, regulation, inflation or economic conditions;

• actions or failures of independent third-party services outside Elween’s reasonable control;

• unauthorized or improper use of the Services;

• use of the Services in violation of these Terms; or

• events outside Elween’s reasonable control.

Elween will not be liable for indirect, incidental, special or consequential losses to the extent such liability may lawfully be limited.

Nothing in this section excludes liability for fraud, intentional misconduct, gross negligence where it cannot lawfully be excluded, or any other liability that applicable law requires Elween to bear.

18. Indemnification

If you use the Services on behalf of a business or other legal entity rather than as an individual consumer, you agree, to the extent permitted by law, to indemnify Elween against third-party claims, liabilities, damages and reasonable costs resulting from your unlawful use of the Services or material violation of these Terms.

This section does not apply to consumers to the extent its application would conflict with mandatory consumer-protection law.

19. Suspension and termination

You may stop using the website at any time.

Elween may restrict, suspend or terminate your access where reasonably necessary because of:

• fraud or suspected fraud;

• misuse of the Services;

• cybersecurity or security risks;

• material violation of these Terms;

• legal or regulatory requirements; or

• conduct that materially threatens Elween, its users or its partners.

Where appropriate and legally required, Elween will provide notice before taking such action.

Future accounts, cards, investment functionality, payment functionality or other contracted financial services may have separate termination provisions contained in their applicable product terms.

20. Changes to these Terms

Elween may update these Terms as its Services, technology, legal obligations and business evolve.

The current version will be made available through the website and will display its effective date.

Where required by law, Elween will provide appropriate notice before material changes affecting existing contractual rights become effective.

Changes to these Terms will not retroactively remove rights that applicable law gives you.

Continued use of the Services after updated Terms become effective may constitute acceptance of those Terms to the extent permitted by applicable law.

21. Consumer rights and complaints

Nothing in these Terms affects rights that cannot lawfully be waived under applicable consumer-protection law.

Where mandatory consumer-dispute-resolution or mediation rules apply to Elween and a particular user, Elween will comply with those requirements and provide the information required by applicable law.

22. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, to the extent permitted by applicable law.

If you use the Services as a consumer, this choice of law does not deprive you of mandatory consumer protections that apply to you and that cannot lawfully be excluded by agreement.

In particular, where applicable law grants you the right to bring proceedings in the courts of your country or place of residence, these Terms do not remove that right.

For users who are not consumers, any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the competent state or federal courts located in Delaware, United States, unless applicable law requires otherwise.

23. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

24. No waiver

If Elween does not immediately enforce a provision of these Terms, that does not mean Elween waives its right to enforce that provision later.

25. Entire agreement

These Terms constitute the agreement between you and Elween regarding your use of the Services covered by these Terms, together with any policies expressly incorporated into them.

Separate products or services may be governed by additional terms.
